These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Client", or "you") and PixelVirt ("Company", "we", "us", or "our"). By accessing and using our website and services, including PixelView, PixelChat, and PixelAI, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must stop using our services immediately. We reserve the right to modify these Terms at any time, and such modifications become effective upon posting to our website.

1. Use License

Subject to compliance with these Terms, PixelVirt grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for your personal or business purposes.

You agree not to:

  • Reproduce, duplicate, or copy our services for commercial use
  • Modify or alter any portion of our services or their content
  • Use our services to develop competing products or services
  • Attempt to reverse-engineer, decompile, or discover source code
  • Transfer, sublicense, or lease our services to third parties
  • Use our services for illegal or harmful activities
  • Interfere with or disrupt the integrity or performance of our services

2. Acceptable Use Policy

You agree to use our services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of our services. Prohibited behavior includes:

  • Harassing, threatening, defaming, or abusing any person or organization
  • Transmitting viruses, malware, or harmful code
  • Spamming or sending unsolicited communications
  • Phishing or attempting to impersonate others
  • Violating intellectual property rights
  • Accessing accounts, systems, or data without authorization

  • Circumventing security measures or restrictions

PixelVirt reserves the right to suspend or terminate your account for violations of this Acceptable Use Policy.

3. Account Registration and Responsibility

When you register an account with PixelVirt, you agree to:

  • Provide accurate, complete, and truthful information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account
  • Keep your account information current and accurate

PixelVirt is not responsible for any unauthorized access to your account or loss of data resulting from your failure to maintain account security.

4. Service Availability and Support

We strive to maintain continuous, uninterrupted access to our services. However, we do not guarantee 100% uptime. We may perform scheduled maintenance, upgrades, or emergency repairs that may temporarily interrupt service.

We will endeavor to provide notice of planned maintenance where reasonably possible. PixelVirt is not responsible for any unavailability or loss of service due to:

  • Scheduled maintenance or upgrades
  • Emergency repairs or security measures
  • External factors (internet outages, natural disasters)
  • Third-party infrastructure failures
  • Actions by government or regulatory authorities

5. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of PixelVirt or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload to our services. By uploading content, you grant PixelVirt a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute that content for the purpose of providing and improving our services.

You agree not to reproduce, modify, distribute, or create derivative works of our intellectual property without our prior written consent.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIXELVIRT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or business interruption
  • Loss of goodwill or reputation
  • Personal injury or property damage
  • Any other damages arising from your use of our services

Our total liability to you for all claims arising out of or related to these Terms or our services shall not exceed the amount you have paid to PixelVirt in the 12 months preceding the claim, or $100 USD, whichever is greater.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranty of merchantability
  • Warranty of fitness for a particular purpose
  • Warranty of non-infringement
  • Warranty of accuracy or completeness
  • Warranty that our services are free from viruses or malware

You assume all risk and responsibility for the use of our services. We do not warrant that our services will meet your requirements or be uninterrupted, timely, secure, or error-free.

8. Payment Terms and Billing

If you purchase a paid plan or service from PixelVirt, you agree to the following payment terms:

  • You authorize us to charge your payment method for all fees and charges
  • Payment must be made in full before access to premium features
  • Recurring billing will continue until you cancel your subscription
  • All charges are exclusive of applicable taxes, which will be added
  • We accept major credit cards and other payment methods
  • Invoices will be provided upon request for business purposes

9. Refund Policy and Cancellation

Refund Policy:

  • If you are not satisfied with our services, you may request a refund within 30 days of your initial purchase
  • Refund requests must be submitted in writing to our support team
  • Refunds will be processed within 15 business days after approval
  • Certain custom development services may be non-refundable once work has commenced

Cancellation:

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing cycle
  • No refunds are provided for partial months

10. Modification and Discontinuation of Services

PixelVirt reserves the right to:

  • Modify or update our services at any time
  • Add, remove, or change features without prior notice (except as required by law)
  • Discontinue services with notice to affected users (typically 30 days)
  • Restrict access to certain features or content based on your subscription level

For discontinuation of services you have paid for, we will provide a pro-rata refund for the unused portion of your subscription.

11. Indemnification

You agree to indemnify and hold harmless PixelVirt, its officers, directors, employees, and agents from any claims, damages, costs, or expenses (including legal fees) arising out of:

  • Your violation of these Terms
  • Your use of our services in violation of applicable laws
  • Your infringement of third-party intellectual property rights
  • Any content you upload or create using our services
  • Your unauthorized access to third-party systems

12. Third-Party Links and Services

Our services may contain links to third-party websites and services. PixelVirt does not endorse, control, or assume responsibility for the content or accuracy of third-party sites.

We are not liable for any damages or losses resulting from your use of third-party services. Please review the terms and privacy policies of third-party services before using them.

13. Service-Specific Terms

13.1 PixelView (Cloud Management)

  • You are responsible for ensuring that your OpenStack infrastructure complies with all applicable laws and regulations
  • PixelVirt is not responsible for data loss or corruption resulting from your configuration or actions
  • You must maintain separate backups of critical data independent of PixelView
  • PixelVirt provides monitoring and management tools but does not assume responsibility for system failures
  • You grant PixelVirt read access to your infrastructure for monitoring and optimization purposes only

13.2 PixelChat (AI Chatbot Services)

  • PixelChat is powered by AI and may make errors or provide inaccurate information
  • You should not rely solely on PixelChat for critical business decisions
  • All financial advice or recommendations from PixelChat are informational only
  • Conversation data may be used to train and improve the AI model (anonymized)
  • PixelChat does not establish attorney-client privilege or other confidential relationships
  • You are responsible for ensuring chatbot interactions comply with your regulatory requirements

13.3 PixelAI (Custom Software Development)

  • Custom software development projects are subject to a separate development agreement
  • Intellectual property rights of custom work shall be defined in the project agreement
  • Project timelines and deliverables will be specified in the statement of work
  • PixelVirt is not responsible for third-party software licensing issues
  • You must provide accurate requirements and timely feedback to ensure project success

14. Data and Backup Responsibility

While PixelVirt implements security measures to protect your data, we recommend:

  • Maintaining regular backups of all critical data outside of our services
  • Implementing multi-factor authentication on your account
  • Using strong, unique passwords
  • Regularly reviewing access logs and account activity
  • Notifying us immediately of any security concerns

PixelVirt is not responsible for data loss, corruption, or unavailability resulting from your failure to maintain backups or follow security best practices.

15. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction where PixelVirt is incorporated, without regard to its conflict of law principles.

Any legal action or proceeding relating to these Terms or our services shall be exclusively brought in the courts of that jurisdiction, and you consent to the jurisdiction and venue of such courts.

16. Dispute Resolution and Arbitration

Before initiating any legal action, you agree to attempt to resolve disputes informally:

  1. Provide written notice of the dispute to our support team
  2. Allow us 30 days to respond and attempt resolution
  3. If unresolved, you may pursue arbitration or legal action

Any arbitration shall be conducted on an individual basis (not class action) and shall be governed by the rules of the American Arbitration Association or equivalent body.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

18. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and PixelVirt regarding your use of our services. These Terms supersede all prior agreements, understandings, and negotiations, whether written or oral.

19. Changes to These Terms

PixelVirt reserves the right to modify these Terms at any time. Changes become effective upon posting to our website. For material changes, we will provide notice to your registered email address at least 30 days before the changes take effect.

Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
